Company compliance owners should be assigned even when a newly incorporated business has no employees. The absence of payroll does not remove the need to manage company records, official correspondence and financial information. Agree who does each task and who checks completion before activity becomes busy.

Separate ownership from assistance

List the directors and the appointed service providers, then identify the contact for each recurring workstream. A provider’s engagement should say what it covers. Do not assume that incorporation assistance includes every future filing, accounting task or licence review.

The director should understand what information must be supplied and how approvals will be obtained. An outsourced secretary or accountant cannot reliably act on changes that the company never reports. Keep an authorised backup contact for periods when the founder is unavailable.

Set a controlled correspondence route

Decide where official mail and electronic notices will be received, who checks them and how action is assigned. Use company-controlled records with appropriate access. A notice left in a personal inbox can be missed even where the company has no customers or employees yet.

Example: the founder is overseas

The sole operational founder travels while the registered office receives a request for information. A named contact should route the notice to the director and relevant adviser and record the response required. A forwarding email alone should not be treated as proof that the matter was resolved.

Give finance a document route

Identify how supplier invoices, founder-paid costs, bank statements and contracts reach the bookkeeper. Separate personal and company transactions from the beginning. If no transactions have occurred, tell the accountant the facts rather than assuming that inactivity settles the company’s reporting position.

Review the first compliance calendar

Ask the secretary and accountant to identify the requirements for the actual company and financial period. ACRA’s annual-return guide is relevant even though the business has no staff. Record responsible people, required information and review dates. When the first employee is hired, add the payroll and employer workstreams through a separate onboarding review.
