Short answer: To resign as nominee director in Singapore, ask your corporate service provider in writing to arrange a replacement. ACRA says CSPs should take reasonable steps to replace an employee or former employee as nominee director on request. The company must keep another ordinarily resident director, and must withdraw you in Bizfile within 14 days.

If you want to resign as nominee director in Singapore, the hard part is rarely the resignation itself. It is that the company must still have a director who is ordinarily resident in Singapore once you leave, and a nominee is often that director because the owners live overseas. This guide explains what ACRA has said about asking your corporate service provider (CSP) to replace you, what a request should contain, what the company must file and what you can do if nothing happens.

Key facts at a glance

  • ACRA’s reply published in The Straits Times on 8 July 2026 says CSPs should take reasonable steps to replace an employee or former employee as nominee director upon request, and that ACRA will take action against CSPs that engage in unethical practices.
  • A director can resign if the process complies with the company’s constitution and the company will still have at least one director who is ordinarily resident.
  • The company must withdraw the position holder through Bizfile within 14 days of the resignation.
  • Company officers cannot withdraw themselves: another authorised position holder, or a CSP, must submit the withdrawal.
  • If the company does not act, the director can notify ACRA directly by filing a Notice of Cessation.
  • The Central Registers of Nominee Directors and Nominee Shareholders (ROND and RONS) must be updated within two business days of updating the company’s private registers.

Can a nominee director ask the CSP to replace them?

Yes, and ACRA has said the CSP should respond. In its 8 July 2026 forum reply, ACRA wrote that CSPs should take reasonable steps to replace an employee or former employee as a nominee director upon request.

Read that sentence carefully. It is a regulator’s statement of expectation in a published reply, not a section of the Companies Act that gives you a right to be removed on a fixed date. It also speaks of an “employee or former employee”, so the position can differ if you are a friend, relative or business associate of the owners and not someone placed by the CSP. Your engagement terms, the company’s constitution and any nominee director agreement still matter. Our overview of how nominee directors work in 2026 covers the basic arrangement.

What does ACRA say about nominee directors and CSPs?

ACRA says nominee directorships are a legitimate service, that CSPs must be satisfied an individual is fit to be a director before arranging them, and that individuals should understand a director’s duties before accepting an appointment.

The same reply gives the reason the rule exists: every Singapore company needs at least one ordinarily resident director so that someone in Singapore is responsible for compliance, including annual returns, tax returns and the reporting of suspicious transactions. That responsibility sits with you while you are on the register, which is why leaving cleanly matters. For the liability side, see our note on nominee director duties and personal liability after CALA 2025, and for the company’s perspective see why a company using a nominee should have two directors of its own.

Why must a replacement be in place before you leave?

Because ACRA’s resignation test has two parts and the second one is the company’s, not yours. A director can resign only if the resignation process complies with the company’s constitution and the company will still have at least one director who is ordinarily resident.

If you are the only resident director, your resignation cannot take effect cleanly until another ordinarily resident director is appointed. That is the “gap” problem: the CSP, or the owners, need to line up a replacement first, and the appointment and your withdrawal are then filed together or in the right order. Our guides on resident director requirements and the resident director rule under the Companies Act explain who qualifies as a replacement.

What should your request to the CSP say?

It should be in writing, dated and unambiguous. A clear request gives you a record to rely on if the matter later goes to ACRA or to a lawyer.

  • State that you are asking the CSP to arrange a replacement nominee director for the named company (give its name and UEN) and to withdraw you as director.
  • Give a reasonable date by which you expect the replacement to be arranged, and ask the CSP to confirm the timeline in writing.
  • Ask for confirmation that the company’s private register of nominee directors and the Central ROND will be updated when you cease.
  • Ask what the CSP needs from you, for example a signed resignation notice or your endorsement of the withdrawal.
  • Keep copies of everything and note when you sent it and how.

If your arrangement is documented, also check the notice period or termination clause in your nominee director agreement and the company’s constitution before you send the letter, because ACRA’s test refers to the constitution.

What are the steps from request to cessation?

The sequence below follows ACRA’s published guides on resignation, withdrawal and the nominee registers. Your CSP will normally run it for you.

  1. Send the written request to the CSP and confirm the replacement’s identity and the date the change is intended to take effect.
  2. The company appoints the replacement as a director (a foreigner can only be appointed through a CSP, according to ACRA’s position holder guide) so that the company keeps an ordinarily resident director.
  3. The board records your resignation in line with the constitution, and the company’s private registers of directors and of nominee directors are updated.
  4. Another authorised position holder, or the CSP, files the withdrawal through Bizfile’s “Appoint/Withdraw position holder” service within 14 days of the resignation, with the withdrawal date and reason.
  5. If the filing needs your endorsement, you consent through your Singpass login within 14 days, or the update may be rejected. ACRA says endorsement is not needed where a CSP files the transaction.
  6. The company files the cessation in the Central ROND through “Update Registers of Nominee Directors and Nominee Shareholders”, using a cessation date that is today or in the past.
  7. Check the status in Bizfile and keep the confirmation notices.

What must the company file with ACRA, and by when?

Two filings matter: the withdrawal of the director, and the update to the Central ROND. Both have short deadlines and are the company’s responsibility, even when a CSP files them for it.

Filing Deadline Cost and processing, per ACRA Who can file
Withdraw the director (Appoint/Withdraw position holder) Within 14 days of the resignation Free. Immediate if no endorsement is needed, up to 14 days if endorsements are required Authorised officers of the company, a CSP or a group secretary. Officers cannot withdraw themselves
Appoint the replacement director Within 14 days of the appointment Free. Same processing times as above Appointing a foreigner requires a CSP
Cease the nominee in the Central ROND Within two business days of updating the private registers Free. Immediate Position holders, a registered CSP or a group secretary

ACRA states that no extension of time is available for ROND and RONS filings, and that a late filing can lead to prosecution and fines of up to $25,000. The nominator’s cessation date must be the current date or a past date. Our guide to the register of nominee directors explains what the register holds.

What can you do if the CSP does not act?

You have two practical routes: escalate in writing, and, where the company has not reported your resignation, file a Notice of Cessation with ACRA yourself.

ACRA says that where the company fails to report a resignation, the individual can notify ACRA directly by filing a Notice of Cessation, and a separate notice is needed for each company. For a resignation, ACRA lists the documents to prepare as an acknowledgement from the Board of Directors or the receipt of the Registered Article, and your resignation notice. It says you can check the status after one to three days, and that applications needing further review are processed within 20 working days.

Because the resident-director condition still applies, a filing alone does not remove your exposure if the company has no other resident director. In that case, also consider telling ACRA about the CSP’s conduct, since ACRA has said it will take action against CSPs that engage in unethical practices, and take legal advice from a Singapore Advocate and Solicitor before relying on any contractual argument with the CSP. Keep your original written request, as it is the clearest evidence you asked.

What if the foreign owners are uncontactable?

ACRA’s reply covers this too. If a sole local resident director faces difficulties fulfilling their duties because the foreign owners are uncontactable, and the company is not carrying on business, that director can ask ACRA to initiate the process to strike off the company.

This is a different exit from replacement, and it only fits a company that has stopped trading. Our RCS article on the trapped nominee director’s strike-off exit goes through it, and if the director you are replacing is also the only resident one, our note on what a company must do when its only local director cannot continue shows the same replacement problem from the company’s side.

Frequently asked questions

Does a CSP have to replace me as nominee director if I ask?

ACRA says CSPs should take reasonable steps to replace an employee or former employee as nominee director on request. That is ACRA’s stated expectation in a published reply, and the exact position can depend on your agreement and the company’s constitution.

Can I resign if I am the only director in Singapore?

Only if the company will still have at least one ordinarily resident director after you go. A replacement therefore has to be arranged first or at the same time.

How long does the company have to file my withdrawal?

Within 14 days of the resignation, through Bizfile. ACRA says the filing is free and immediate where no endorsement is needed, or up to 14 days where endorsements are required.

Can I file my own resignation with ACRA?

You cannot withdraw yourself through the company’s withdrawal service. If the company fails to report your resignation, ACRA allows you to file a Notice of Cessation directly, with your resignation notice and an acknowledgement from the board or the Registered Article receipt.

Does my name also come off the nominee director register?

The company must cease you in its private register of nominee directors and in the Central ROND, using a cessation date that is today or earlier, within two business days of updating the private register.

Where can I read ACRA’s position?

ACRA’s reply is on its news and announcements page, and its guidance on when a director can leave office sets out the resignation conditions. The filing steps are in ACRA’s guides on appointing or withdrawing position holders, reporting a resignation and ceasing nominators in the Central ROND and RONS.
