An old address in resolutions calls for a document-control review, not an automatic replacement of every historic record. Establish whether the address was correct when the document was signed and whether the error affects the current action. Ask the company secretary to distinguish a stale template from an inaccurate signed record.

Identify what the address describes

Check whether it is the registered office, meeting venue, correspondence address or another location. These are different facts. A meeting can take place somewhere other than the registered office, so a different venue does not automatically establish a defect.

Record the document date, signature status and transaction. Compare the address with reliable records for that date. A current company profile cannot by itself establish where the registered office was several years earlier.

Contain the template problem

Find the master template and the places where copies are reused. Mark the stale template as superseded, update the controlled version and tell preparers where to obtain it. Do not overwrite the signed historical document simply because the master template has changed.

Decide the actual correction route

For an unsigned draft, correct the verified particulars before circulation. For a signed record or a document already supplied to a bank or regulator, seek the secretary’s instructions on whether clarification, replacement or further approval is needed. ACRA’s update guidance explains registered-office reporting, but a template edit is not evidence that the company filed an address change.

Example: a current resolution with a former office

A draft board resolution names the old registered office in a standard footer. The company moved months ago and the relevant records confirm the new address. Correct the draft and remove the obsolete master from routine use. Keep the signed resolution concerning the original move unchanged.

Retain an understandable audit trail

Store the corrected draft, final approved record and any explanation of reissue. Identify what changed and who confirmed the particulars. If the address error affects notice, service or a disputed corporate action, obtain appropriate legal advice rather than treating it as a cosmetic edit.
