An annual return review handover should show the new reviewer exactly which version was checked, what remains unresolved and who can approve the filing. A departing reviewer may have read the draft without clearing every question. Do not convert that partial review into an assumption that submission is authorised.

Freeze the version being handed over
Retain the draft return, supporting company information and review date. Use a version reference that distinguishes it from an earlier export. If particulars changed after the review began, identify the change rather than silently replacing the file.
List the checks already performed and their supporting evidence. A general note saying reviewed gives the incoming person little basis to understand whether shareholder details, officer particulars or another section remains in question.
Transfer unresolved questions explicitly
Create an issues list with the question, relevant document, person supplying the answer and current status. Keep factual queries separate from decisions requiring the secretary’s or director’s judgement. An unanswered question should remain open even where the previous reviewer expected a routine answer.
Avoid circulating personal documents to every colleague copied into the handover. Give the new reviewer appropriate access through the company’s controlled records and share only what is needed for the task.
Example: a shareholder figure changed
The first reviewer checked an earlier draft. A share transaction is then reported and a replacement reviewer takes over. Identify which figures need fresh verification and retain the evidence for the change. The earlier review cannot automatically cover the revised particulars.
Obtain the required final approval
Ask the responsible secretary to confirm the applicable review and submission process. Keep the final approved version distinct from working drafts. ACRA’s annual-return guide describes the filing workflow; an internal handover should support that workflow rather than imply that the reviewer transition extends a deadline.
Close the handover after acknowledgement
Have the incoming owner confirm receipt of the files and open questions. Track actual filing and accepted-submission evidence separately. The handover is complete when responsibility and records are understood, not merely when a folder link has been emailed.
