A deceased shareholder notification should be routed promptly to the company secretary with reliable evidence and the correct company reference. Separate the factual death-status update from decisions about who is entitled to the shares. A family member informing the company does not, by itself, establish authority to transfer or exercise rights over the holding.

Record the notification carefully

Keep the date received, notifier’s contact route and the company and shareholder concerned. Compare the name with the company’s controlled records. Where the identity is uncertain, obtain clarification through a suitable secure process instead of changing the wrong member’s particulars.

Ask the secretary what supporting documents are required for the applicable update. Keep personal and estate documents in restricted storage and record their source. Do not circulate the full pack to unrelated shareholders or staff.

Separate two workstreams

ACRA’s shareholder-information guide says the shareholder’s status and date of death need updating. It also explains that the name remains on the company profile until the shares are transferred out. A status update should therefore not be described as a completed transfer to a beneficiary.

Ask appropriate advisers to assess the estate, representation and shareholding questions under the actual documents and circumstances. This administrative checklist does not determine inheritance, transmission rights or authority to sign for an estate.

Example: a relative asks for an immediate name replacement

A relative supplies a death notice and asks for the holding to be put in their name. Preserve the notification and refer the separate entitlement request for review. Do not replace the shareholder merely because the relative is the first person to contact the company.

Track the reviewed outcome

Keep the factual update, supporting evidence, advice and any later share transaction as distinct records. Record outstanding information and the responsible owner. Legal assistance can be coordinated through advisers from associated law firms where estate or entitlement questions require it.
