Confidential board paper circulation should follow an agreed recipient list and a clear distinction between the full company record and any limited disclosure copy. Ask the responsible director and secretary to confirm what each recipient may receive. Do not remove information from the master record merely to prepare a shorter external pack.

Define the disclosure purpose
Record who requested the papers, why they need them and the proposed delivery route. A lender, investor or service provider may require different information. Verify the request before disclosing commercially sensitive or personal material.
Identify the exact document version and attachments involved. Avoid sending an entire meeting folder when the approved purpose concerns one decision or extract.
Prepare the approved copy
Have an authorised reviewer decide whether a full copy, extract or redacted copy is appropriate. Mark the disclosure copy so the recipient can understand its scope. Keep redactions distinct from changes to the underlying approved record.
Use a suitable document process and check the final output carefully. Text hidden by a visible box may remain recoverable in an electronic file. If the team cannot verify that the intended information is removed from the disclosure copy, obtain competent assistance before sending it.
Example: a board pack includes unrelated employee information
A requested corporate decision sits beside a separate staff matter in the same pack. Ask the reviewer what may be supplied for the stated purpose. Do not assume that authority to receive one decision permits disclosure of every attachment.
Preserve the master and delivery record
Retain the complete company record in controlled storage. Keep the approved disclosure copy, recipient, purpose, reviewer and delivery evidence separately. If access rights or a legal duty to provide records are disputed, seek appropriate advice rather than deciding the question through an informal redaction. Legal assistance is available through advisers from associated law firms.
