If annual return data is wrong, identify the affected field and its source before submitting the return. ACRA’s filing guide tells companies to update incorrect entity information before continuing. Prepare an evidence pack that shows the current record, the correct facts and the authority for any change. An annual return should not be used as an unexplained workaround for an unresolved historical error.

Identify the exact field

Write down whether the issue concerns the registered office, officer details, business activity, shareholders, capital or financial-year information. Capture the current particulars and note when they were obtained. Avoid a vague instruction such as “please fix the company profile”, which leaves the reviewer guessing what is wrong and why.

Distinguish a new change from an old mistake

A genuine recent change may call for the normal update transaction. A mistake in a previous filing may require an error-correction route and additional evidence. The secretary should identify that route. The record pack should explain the distinction; it should not assume that entering a new effective date will cure the old problem.

Prepare the evidence matrix

  • Current field value and the value believed to be correct.
  • Signed authority or primary record supporting the facts.
  • Relevant effective date, separate from the proposed filing date.
  • Previous filing acknowledgement, if the error is historical.
  • Director’s explanation of any inconsistency.

Provide complete documents rather than cropped signature pages that omit the operative wording.

Keep unrelated annual-return questions separate

An entity-particulars correction does not answer every annual-return declaration. Financial statements, AGM information and register-related questions still need their own checks. Allocate a reviewer to each unresolved item. A useful tracker shows “evidence obtained”, “approved for action” and “successfully filed” as separate stages.

When to escalate

If the intended correction changes an ownership position or a disputed appointment, seek professional advice before proceeding. The secretary may need support from advisers at associated law firms. Do not delete conflicting documents, manufacture a backdated resolution or describe a disputed assertion as an agreed fact. Preserve the evidence and explain the uncertainty.

Retain the before-and-after pack

Keep the original particulars, correction instructions, approval, filing result and updated record together. Then finish the annual-return review using the current data. See our annual-return guide, statutory registers and the company secretary’s role for the wider context.
