An agreement constitution comparison should identify the exact clauses, document versions and proposed corporate action before advisers assess the difference. Do not assume one document automatically overrides the other for every purpose. The secretary can organise the company record, while advisers from associated law firms can address legal interpretation.

Compare the same question
Obtain the complete constitution and shareholders agreement, including relevant amendments and schedules. Identify the company and parties. A clause from an unsigned draft should not be presented as an agreed term.
State the practical question, such as whether a proposed share issue needs an additional consent. Record the action being considered rather than asking broadly which document is more important.
Build a short issue index
Use separate columns for the subject, constitution clause, agreement clause, apparent difference and supporting correspondence. Quote only the relevant wording accurately and give the reviewer access to the complete documents.
Distinguish different wording from a confirmed conflict. The documents may address different parties, capacities or stages of a transaction. An administrator should not resolve that question by deleting the less convenient provision.
Example: a consent appears in one document
The constitution describes an approval process, while the agreement contains an additional investor-consent clause. Record both references and the proposed action. Do not treat completion of one approval as proof that the other requirement is irrelevant.
Ask the reviewer to explain the accepted implementation route and any outstanding conditions. This article does not determine enforceability or prescribe an approval threshold.
Retain the reviewed instruction
Link the final advice or authorised instruction to the issue index. Keep original documents and amendments intact. If a change is required, follow the separately approved amendment process instead of editing a signed agreement to match the constitution.
