A meeting abstention tally should be checked when the minutes say that a person abstained but the numerical result appears to include that person’s vote. Preserve the original evidence and ask the secretary and chair to reconcile the discrepancy. Do not change the result merely to make two documents agree.

Compare the same decision

Identify the company, meeting and exact resolution. Obtain the attendance record, voting instructions or poll materials and the draft or approved minutes. A tally for another agenda item may have been copied into the wrong place.

Separate an arithmetic mistake from uncertainty about the person’s participation or authority. The number of people present does not necessarily equal the number of votes cast.

Make the question explicit

Prepare a comparison showing the recorded abstention, stated votes and supporting references. Ask the responsible reviewer to establish what happened and how the applicable rules affect the record. This checklist does not prescribe whether a particular person could vote or count towards quorum.

Avoid replacing a signed record while enquiries are open. Keep proposed corrections separately labelled and record their source.

Example: the summary includes every attendee

The meeting summary uses the attendance total as the number supporting a decision, while another note records an abstention. Give the chair the underlying voting evidence. An attendance list alone cannot settle that discrepancy.

Retain the approved reconciliation

Keep the review outcome, any accepted correction and the original evidence together. If the result affects a corporate action already implemented, tell the responsible secretary promptly so the implications can be assessed. Legal assistance is available through advisers from associated law firms where required; a spreadsheet correction should not substitute for that assessment.
