Secretary renewal scope should be checked against the company’s expected work before the next service period begins. Compare the quote, engagement terms and outstanding tasks. A named-secretary appointment does not necessarily mean every filing, resolution, registered-office arrangement or transaction is included in the same fee.

List the work expected

Identify recurring annual tasks and known changes, such as planned officer updates or share administration. Separate tasks already covered by an earlier engagement from new work. Ask who supplies the information and who approves the final documents.

Keep the review factual. Do not insert an assumed price or promise that a provider will perform work absent from the agreed scope.

Clarify inclusions and exclusions

Ask whether the renewal covers the named appointment, annual-return preparation or filing, routine resolutions, document custody and registered-office support. The relevant combination depends on the actual engagement. Record any separately quoted work and the approval required before it starts.

Identify what happens to unresolved tasks at the boundary between service periods. An invoice being paid does not establish that a particular filing was completed.

Example: a share transaction is planned

The company expects its annual renewal to include a new share transaction, but the quote lists only recurring services. Obtain written scope clarification before scheduling the transaction. Do not ask staff to begin using unsigned documents on the assumption that everything is covered.

Confirm ownership and continuity

Keep the accepted scope, company contact, escalation route and records location together. If the company changes provider, arrange the appointment and handover work separately with the responsible advisers. This commercial review helps prevent missed tasks without deciding the legal effect of any appointment or termination.
