A misdirected share certificate needs prompt escalation to the responsible director and secretary, with delivery evidence preserved. Identify what was sent and who received it before arranging recovery. Do not issue another certificate automatically or assume that deleting an email resolves the incident.

Establish what left custody

Record the company, certificate reference, intended recipient, actual destination and delivery method. Distinguish an original physical certificate from a scan or a link. Preserve the dispatch message, courier reference and any recipient response.

Keep the incident record restricted because the document may contain shareholder information or signature material. Avoid forwarding the certificate widely while asking colleagues who recognises it.

Contain and recover through a verified route

Ask the authorised incident owner to coordinate contact and recovery. For an electronic disclosure, review any company-controlled sharing route through the normal authorised process. For a physical original, agree how return custody will be documented.

Have the company’s responsible advisers assess the information exposure and any required response. This practical checklist does not determine whether a regulatory notification is required or set a universal deadline.

Example: the correct address but wrong envelope

A courier delivers a company envelope containing another shareholder’s certificate. Record the actual documents involved and ask the recipient to cooperate through a verified contact. Sending the intended certificate separately does not complete recovery of the first original.

Keep recovery and replacement distinct

Log the recovered item, condition and receiving custodian. Ask the secretary whether any further certificate or register action is appropriate. Do not cancel, renumber or recreate the original without instructions. Close the incident only after recovery status, information handling and outstanding actions are clear.
