AGM observer attendance should be recorded separately from the authority to vote or count towards the meeting’s required participation. A person may be invited to listen or assist without holding the rights of a member or proxy. Ask the secretary and chair to establish each person’s capacity before the voting record is finalised.

Describe the capacity of each attendee

Prepare separate fields for name, capacity and the document supporting any representative or proxy role. Distinguish a member attending personally from a guest, adviser or staff member helping administer the meeting. A person’s job title alone may not explain their capacity at this particular meeting.

Keep the attendance record factual. Do not add a shareholder reference to an observer merely because the person joined the same video call or signed the same visitor sheet.

Resolve participation questions before the vote

Give the secretary the constitution, notice and relevant appointment documents for the actual meeting. Ask who may attend, speak or vote and who determines contested points. This administrative checklist does not prescribe quorum rules or decide legal entitlement.

Where a guest is admitted for one agenda item, record the relevant arrival and departure information if needed for an accurate account. Attendance for a presentation should not silently become participation in every decision that follows.

Example: an accountant presents the accounts

The accountant joins to explain figures but does not attend as a member or appointed proxy. Identify that role clearly. If the draft voting sheet includes the accountant in a total of votes cast, pause and reconcile the voting evidence rather than assume every attendee had a vote.

Reconcile the attendance and voting records

Compare the attendance list, proxy or representative evidence and recorded vote for each decision. Refer missing or conflicting information to the responsible secretary and chair. Do not change a signed attendance sheet to make an uncertain tally look consistent.

Preserve the completed meeting pack

Keep the approved list, relevant authority documents and final meeting record together. Store personal details with appropriate access. ACRA’s AGM guidance supplies the wider meeting context; a well-labelled attendance record supports the review without replacing the applicable company rules.
